Terms of Use.

1Agreement to these terms

These Terms of Use ("Terms") form a binding agreement between you and Wakilii ("Wakilii", "we", "us", or "our") and govern your access to and use of the Wakilii website, application, and related services (together, the "Service"). By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.

2Definitions

3Eligibility & access

The Service is currently provided on an invite-only basis. Access is granted at our discretion and is personal to the account holder. You must be at least 18 years old and capable of forming a binding contract to use the Service.

We may operate the Service, or parts of it, as a preview or beta. Preview features may change, be withdrawn, or contain errors, and may be subject to additional terms communicated to you.

4Nature of the service — not legal advice

Wakilii is a legal research tool, not a law firm. The Service and its Output are provided for informational and research purposes only. They do not constitute legal advice, do not create a lawyer–client relationship, and are not a substitute for the independent judgment of a qualified legal practitioner admitted to practise in the relevant jurisdiction.

You are solely responsible for evaluating the Output, for independently verifying every authority it cites, and for any advice, filing, decision, or other work product you produce. Reliance on the Output is at your own risk. Nothing in the Service should be treated as a recommendation to take or refrain from any legal action.

5Accounts & security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Do not share your account or credentials. Notify us promptly at [email protected] if you suspect any unauthorised use. We are not liable for losses arising from your failure to keep your credentials secure.

6Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

7AI output & accuracy

The Service uses artificial intelligence to generate Output. While we design Wakilii to cite primary authority and to verify citations against their sources, AI systems can still produce output that is incomplete, out of date, or incorrect, including mischaracterising a source or omitting a relevant authority. The law also changes, and Source Materials may be amended, repealed, or overruled.

We make no guarantee that the Output is accurate, complete, current, or fit for any particular purpose. You must independently confirm every authority before relying on it.

8Intellectual property

The Service, including its software, design, branding, and the compilation and organisation of its corpus, is owned by Wakilii or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own legal research.

Source Materials such as legislation and judgments are public records and remain subject to any rights of their respective authorities and publishers. Our licence to you does not transfer any rights in the Source Materials themselves beyond what those rights holders permit.

9Your content & queries

You retain ownership of Your Content. You grant us a limited licence to process Your Content for the purpose of operating, securing, and improving the Service, as described in our Privacy Policy. You are responsible for ensuring you have the right to submit Your Content and that doing so does not breach any duty of confidentiality or applicable law.

10Third-party sources

The Service links to and quotes from third-party Source Materials and may rely on third-party providers (for example, hosting and model providers). We are not responsible for the content, accuracy, or availability of third-party materials, and links are provided for convenience and verification, not endorsement.

11Fees

Access during the invite-only period may be provided at no charge. We may introduce fees for some or all features in future. If we do, we will give you notice and the applicable pricing and payment terms before any charge applies, and your continued use after a fee takes effect will require your agreement to those terms.

12Availability & changes

We may modify, suspend, or discontinue any part of the Service at any time, and may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, for example by posting a notice or updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13Disclaimer of warranties

To the fullest extent permitted by law, the Service and Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

14Limitation of liability

To the fullest extent permitted by law, Wakilii and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or for any professional, regulatory, or litigation losses, arising out of or relating to your use of, or inability to use, the Service or the Output, even if advised of the possibility of such damages.

To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the liability, or fifty United States dollars (US$50). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15Indemnity

You agree to indemnify and hold harmless Wakilii from any claims, liabilities, damages, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Service, or your reliance on the Output in your own work product.

16Suspension & termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service and request closure of your account at any time. Provisions that by their nature should survive termination — including sections 4, 7, 8, 13, 14, 15, and 17 — will survive.

17Governing law & disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-laws principles. The courts of Uganda will have jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction. The parties will first attempt in good faith to resolve any dispute informally by contacting one another before commencing proceedings.

18General

These Terms, together with the Privacy Policy, are the entire agreement between you and Wakilii regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create any agency, partnership, or joint venture between the parties.
